Gentlemen:
I am pleased to offer the following Commodity or Precious Metal with full corporate
legal and personal responsibility, under the penalty of perjury, for sale / purchase of gold,

B) The Product is of non-criminal origin.
Quantity : 1,000 MT with rolls and extension (seller’s option)

B) Certificates are older than (5) years
Price : LMER 2nd day of Delivery, or no day quote, the following day
Payment : A) The currency used in this transaction is United States Dollars (USD) or
in Euro
B) Cleared Fund against Delivery
Discount & Commission : 15% Gross; 12% Net to Buyer Seller Pays Commission

Documentation (At TTM)
All documents pertaining to the Product will be issued in the name of the Buyer’s final assignee and
endorsed by the Seller’s Bullion Officer. Each lift shall be accompanied by the following Documents:
1. Original Certificate of Deposit
2. Four (4) Copies of commercial Invoices in favor of Buyer
3. Certificate of Origin
4. Certificate of Legal Ownership
5. Internationally Accepted Assay Certificate
6. Certificate of Insurance
7. Export Permit – Export License
8. Bank Warranty of Delivery
9. Custom Duty Seller’s Certificate stating that the refined Bullions are free
and clear of all liens and encumbrances and freely tradable and exportable
each bar and is of no criminal origin
10. Warehouse Receipts
11. Certificate of Weight List describing each bar as follows:
· Serial Number as stamped on each bar
· Fineness as stamped on each bar
· Raw Weight as stamped on each bar
· Total Weight as stamped on each bar
· Receipt of Custom Duties and Taxes

Pre-Implementing Procedures:
This transaction is performed as Off-Market; Private spot deal in the mode of the Bank-to-Bank / Bullion to
Bullion transfer. The following procedures will strictly apply:
a) The seller submits Full Corporate Offer (FCO) via facsimile or email.
b) Buyer responds thru the letter of Intent (LOI).
c) Buyer and seller will agree to a TTM in Hong Kong where the Seller’s reference, transaction and
security codes will be given to the buyer or buyer ‘s mandate.
d) Buyer or Buyer’s mandate signs the Preliminary Sale and Purchase Agreement
e) Seller’s Bank (HSBC, Hong Kong) will issue Confirmation of AU Metal,
addressed to the Buyer which will also be the Seller’s offer to sell backed by the Bank.
f) Buyer will pay bank documentation charges approximately USD$48,500, payable to HSBC upon
signing of the Sales and Purchase Agreement payable to the Seller’s bank coordinates stated in the
Sales Agreement. Seller and Buyer will lodge the signed Sales and Purchase Agreement to their
respective bank. Seller will pay the storage fees.
g) The Seller’s Bank Officer will then communicate with the Buyer/ Buyer’s mandate for the
implementation.
h) All lifts of the Product shall be transferred into the purchasing bank’s full title upon a direct bankto-
bank cash payment to the Seller for the quantity of Product purchased within each lift, as per
instructions given by the purchasing bank’s Bullion Department. The payment of the initial lift
and any and all subsequent lifts will be made by the purchasing bank against delivery, in cleared
funds, ledger to ledger or via SWIFT to the Seller’s bank account at HSBC Hong Kong.
This is valid for 72 hours from receipt thereof. I look forward to the execution of the
proper Sales and Purchase Agreements and contracts if said terms and conditions are
acceptable to you.
